Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the NeuroDocs platform operated by NeuroDocs Ltd. Please read them carefully before using the service.

1. Acceptance of terms

By creating an account or using the NeuroDocs service, you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you must not use the service.

If you are using NeuroDocs on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.

2. Description of service

NeuroDocs provides an AI-powered platform that enables healthcare clinicians to record patient consultations, transcribe audio, and generate structured clinical notes (SOAP format). The service is intended solely as a documentation aid and not as a clinical decision-making tool.

NeuroDocs does not diagnose, treat, or provide medical advice. All clinical decisions remain the sole responsibility of the licensed healthcare professional using the platform.

3. Eligibility

You must be at least 18 years old and a licensed or otherwise authorised healthcare professional to use NeuroDocs in a clinical setting. By registering, you represent that you hold the appropriate professional qualifications and registrations required in your jurisdiction to perform the clinical activities for which you are using the service.

4. Account registration

You must provide accurate and complete information when creating your account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at security@neurodocs.io if you suspect unauthorised access.

Each account is for individual use unless you are subscribed to a Team or Enterprise plan, which permits multiple named seats.

5. Acceptable use

You agree not to:

• Use NeuroDocs in a way that violates any applicable law or regulation.

• Record individuals without their knowledge or consent, where consent is required by law.

• Share login credentials with individuals not licensed under your plan.

• Attempt to reverse-engineer, decompile, or extract the source code of the service.

• Use the service to process data of patients who have explicitly opted out.

• Upload content that infringes third-party intellectual property rights.

• Use automated tools to scrape or extract data from the platform.

6. Patient consent

You are responsible for obtaining all necessary patient consent before recording consultations using NeuroDocs, in accordance with applicable law in your jurisdiction (including, where applicable, the UK Data Protection Act 2018, GDPR, and HIPAA). NeuroDocs provides guidance on consent frameworks but does not manage patient consent on your behalf.

7. Subscription and payment

NeuroDocs is offered under a subscription model. Fees are charged at the rates set out on our Pricing page. All prices are exclusive of VAT unless stated otherwise.

Subscriptions renew automatically at the end of each billing period unless cancelled. You may cancel at any time from Settings → Billing. Cancellation takes effect at the end of the current billing period — you retain access until then.

We reserve the right to change pricing with 30 days' notice. Continued use after the notice period constitutes acceptance.

8. Intellectual property

NeuroDocs retains all intellectual property rights in the platform, including software, AI models, and design assets. Nothing in these terms transfers any ownership to you.

You retain full ownership of the clinical notes, transcripts, and patient records you create using the service. By using the service, you grant NeuroDocs a limited licence to process this content solely to deliver the service to you.

9. Disclaimer of warranties

The service is provided "as is" and "as available". NeuroDocs makes no warranty that the service will be uninterrupted, error-free, or free from inaccuracies. AI-generated content may contain errors and must always be reviewed by a qualified clinician before reliance.

To the maximum extent permitted by law, NeuroDocs disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, NeuroDocs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising under these terms shall not exceed the fees you paid to us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless NeuroDocs Ltd, its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from: (a) your use of the service; (b) your violation of these terms; (c) your violation of any applicable law or third-party rights.

12. Termination

We may suspend or terminate your account immediately if we reasonably believe you have violated these terms or applicable law. Upon termination, your right to use the service ceases and we will delete your data in accordance with our Privacy Policy retention schedule.

You may terminate your account at any time from Settings → Account.

13. Governing law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless you are a consumer resident in Scotland or Northern Ireland, in which case local mandatory consumer protection law may apply.

14. Changes to these terms

We may update these terms from time to time. We will notify you by email and in-app notice at least 14 days before material changes take effect. Your continued use after the effective date constitutes acceptance of the updated terms.
